By accessing or using ProForma ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
ProForma is a document generation tool designed for self-employed individuals, independent contractors, and freelancers for legitimate personal record-keeping purposes. ProForma is not a licensed payroll service, accounting firm, tax preparer, or legal service. Documents generated by ProForma do not constitute certified financial records.
By using the Service, you attest and certify that all information you enter is accurate, truthful, and reflects your actual income, expenses, or business activity. You are solely responsible for the accuracy and lawful use of all documents generated.
You may NOT use ProForma to create documents containing false, fabricated, or misleading information. You may NOT submit documents generated by ProForma to lenders, landlords, government agencies, or any third party with the intent to deceive. Submitting falsified financial documents to lenders, landlords, or government agencies is a federal crime under 18 U.S.C. § 1014, punishable by up to 30 years in prison and fines up to $1,000,000. ProForma cooperates with law enforcement investigations.
You agree to use the Service only for lawful purposes. You may not: (a) use the Service to facilitate fraud or any illegal activity; (b) attempt to gain unauthorized access to the Service; (c) reverse-engineer, decompile, or disassemble any part of the Service; (d) use the Service in any way that could damage, disable, or impair the Service.
You must be at least 18 years of age to use ProForma. By using the Service, you represent that you are 18 or older.
Free tier: email-gated business calculators. Basic ($9.99/mo or $95.88/yr): pay stubs and invoices. Pro ($19.99/mo or $191.88/yr): all document types plus management tools. Paid plans include a 7-day free trial; a credit card is required to start the trial and you will be charged the subscription price after 7 days unless you cancel before the trial ends. Subscriptions renew automatically until cancelled. Cancel anytime through your Stripe customer portal.
You may cancel your subscription at any time. Upon cancellation, you retain access until the end of your current billing period. No refunds are provided for partial billing periods. If you cancel during your free trial, you will not be charged.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ProForma does not warrant that documents generated will be accepted by any third party, lender, landlord, or government agency.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFORMA AND ITS OWNERS, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amount you paid to ProForma in the 12 months preceding the claim.
You agree to indemnify and hold harmless ProForma from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.
All content on ProForma — including text, graphics, templates, software, and design — is owned by ProForma and protected by copyright law. You may not copy, reproduce, or distribute any content without written permission. Documents you generate using your own data are yours to use for lawful purposes.
If you believe content on ProForma infringes your copyright, contact us at support@proformadoc.com with a description of the copyrighted work, the infringing material, and your contact information.
We reserve the right to suspend or terminate your account at any time, without notice, if we reasonably believe you are violating these Terms or using the Service for fraudulent or illegal purposes.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action. Small claims court actions are exempt from this arbitration requirement.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify registered users of material changes via email.
